Agreement and scope
These Terms & Conditions ("Terms") govern access to and use of websites, demonstrations, software, subscriptions, implementation, AI-enabled products, professional services, training, consulting, and other offerings sold or provided by Paladin AI ("Paladin," "we," "us," or "our"), now or in the future. By purchasing, registering, accessing, or using an offering, you agree to these Terms, subject to applicable law.
An order form, proposal, statement of work, checkout disclosure, service-specific agreement, data processing agreement, or other written agreement may contain additional or different terms. If provisions conflict, a mutually executed agreement controls for its subject matter, followed by an applicable order or service-specific terms, then these general Terms. If you act for an organization, you represent that you are authorized to bind it.
Who provides the services
Paladin AI and ExecHero® are separate businesses. Paladin may offer AIDA™, AI-assisted acquisition and relationship services, implementation, consulting, subscriptions, and offerings powered by or obtained through technology, products, or services licensed or supplied by ExecHero or other partners.
Unless an order expressly states otherwise, your purchase from Paladin does not make ExecHero a contracting seller or transfer any ownership of ExecHero technology. Certain platform services, including ExecHeroGO and related communications infrastructure, may have separate provider terms, policies, charges, and account relationships. The seller and billing provider for each item should be identified at checkout or in your order.
Eligibility, accounts, and authority
You must be legally able to enter into a binding contract. You agree to provide accurate registration, billing, and business information; keep credentials confidential; assign access only to authorized personnel; and promptly notify us of suspected unauthorized use.
You are responsible for actions taken through your accounts, users, integrations, and connected systems, except to the extent caused by our own breach of applicable obligations. Access rights and seat limits depend on the purchased plan and configuration.
Orders, subscriptions, and renewals
Prices, features, activation charges, setup fees, term lengths, included allowances, promotional rates, trials, renewal terms, and cancellation methods are those disclosed in the applicable offer or order. Unless an order states otherwise, subscriptions renew for the stated billing period until canceled under the applicable cancellation process.
Where a trial or introductory period converts into paid service, the amount, conversion date, and cancellation deadline must be disclosed at enrollment. We may adjust future-period pricing with advance notice as required by applicable law and your agreement. A cancellation stops future renewals in accordance with the applicable terms; it does not automatically reverse charges already incurred.
Payments, usage, and third-party charges
You authorize the designated merchant or payment processor to charge the payment method you provide for amounts you approve, including recurring subscription charges and any separately disclosed metered usage, wallet funding, automatic top-ups, taxes, and applicable fees. Usage may include SMS, telephone, email, AI execution, carrier, registration, and connected-platform services.
Paladin's service charges and fees collected directly by ExecHeroGO or another provider may appear as separate transactions. Rates, billing frequency, minimums, and wallet terms must be presented in the applicable order, price schedule, or platform disclosures. You are responsible for lawful, authorized usage generated by your account and its configured automations, subject to applicable billing dispute rights.
Do not assume that a Paladin subscription includes unlimited communications or AI usage unless the offer explicitly says so. Failure to pay may result in service limitations or suspension after any required notice.
Refunds and cancellations
Except where required by law or expressly stated in a written offer, agreement, or checkout disclosure, payments for activation, setup, subscriptions, professional services, and consumed usage are nonrefundable. Any specific promotional refund promise or statutory cancellation right takes precedence.
Prepaid wallet balances, unused credits, and automatic top-ups are governed by the applicable provider's disclosed wallet terms and mandatory law. We do not represent that unused prepaid balances are always forfeited; their treatment must be confirmed in the applicable enrollment terms. Contact us promptly about billing errors or unauthorized charges.
Implementation, onboarding, and customer cooperation
Deployment timelines depend on the purchased scope, customer cooperation, integrations, account verification, telecommunications registration, vendor approvals, and technical dependencies. Estimates are not guaranteed completion dates unless expressly agreed in writing.
You are responsible for supplying accurate business details, approved knowledge materials, access credentials through secure methods, contact permissions, required approvals, and timely feedback. Service capabilities may vary by industry, jurisdiction, account configuration, and third-party availability.
AI, Decision Intelligence, and human oversight
Offerings may use AI models, automated communications, the ExecHero Decision Engine™, and other licensed systems. Within applicable deployments, the Decision Engine Decides the strategy and next best action and instructs AIDA to execute. Outputs and classifications depend on the information available, configurations, and service limitations; no system guarantees perfect accuracy or commercial outcomes.
You remain responsible for reviewing configurations, supervising regulated or consequential uses, responding to escalations, and deciding whether and how to rely on outputs. Unless expressly contracted and legally permitted, services are not a substitute for licensed medical, legal, financial, or other professional judgment.
Customer data, privacy, and security
As between the parties, you retain your rights in information you lawfully provide to the services. You grant Paladin and its authorized providers a limited right to process such information as needed to deliver, secure, support, and administer the purchased services and as otherwise authorized by applicable agreements and law.
You are responsible for lawful collection, notice, permissions, accuracy, retention instructions, and authorized use of your customer and prospect data. Our Privacy Policy explains our general practices; applicable data-processing agreements, business associate agreements, and provider contracts may impose additional requirements. Do not submit protected health information or other specially regulated data unless the relevant services and required agreements are specifically approved for that use.
Outbound communications and consent
You are responsible for ensuring that contact lists, prospecting, calling, texting, emailing, recordings, and automated outreach comply with applicable laws, including consent, do-not-call, identification, opt-out, and recording rules. You must honor revocations and suppression requests and must not use the services for spam, deceptive impersonation, or unlawful campaigns.
Carrier registration, messaging approval, or technical capability does not itself establish legal permission to contact a person. Paladin may limit or suspend campaigns that create material legal, security, carrier, or reputational risk.
Acceptable use and restrictions
You may not use the services to violate law; infringe rights; upload unlawfully obtained data; harass, deceive, or discriminate unlawfully; transmit malware; bypass usage limits or security controls; interfere with networks; scrape restricted interfaces; or attempt to extract confidential prompts, decision logic, weights, source code, or proprietary architecture.
You may not reverse engineer, copy, sublicense, resell, redistribute, publish, or use protected technology to create a competing product except as expressly permitted by law or written agreement. Affiliate, referral, distributor, agency, or reseller rights require a separate written authorization.
Intellectual property and licenses
Paladin and its licensors retain ownership of their respective brands, content, methods, software, documentation, and other intellectual property. ExecHero® retains ownership of its preexisting and independently developed technologies and methodologies, including the ExecHero Decision Engine™, Decision Science™, the SDCC Way™, ARCS™, and other applicable proprietary works.
Subject to payment and compliance, you receive only the limited, nonexclusive, nontransferable access or usage rights stated in your purchased plan or agreement. No sale, assignment, work-for-hire designation, or implied license of underlying intellectual property arises merely from purchasing access or services. Custom deliverables and their ownership are governed by the applicable written statement of work.
Third-party platforms and integrations
Features may depend on CRM systems, telecommunications carriers, payment processors, AI vendors, hosting providers, APIs, social networks, and other third parties. Their services may be governed by separate terms, privacy policies, availability limits, and charges.
We are not responsible for independent third-party outages, policy changes, or acts outside our reasonable control, except as otherwise required by law or expressly agreed. We may replace providers or modify integrations where reasonably necessary, subject to applicable contractual commitments.
Results, testimonials, and no guarantees
Any case study, testimonial, revenue figure, performance illustration, projection, or example is provided for context and does not guarantee that you will obtain similar results. Results depend on your market, offer, team, data quality, compliance, implementation, sales practices, and other factors.
Except for warranties expressly set out in an applicable written agreement and nonwaivable legal protections, services are provided on an as-available basis without guarantees of uninterrupted operation, specific conversion rates, appointments, income, or revenue. See our Earnings & Results Disclaimer for additional context.
Confidentiality
Each party may receive nonpublic business, customer, technical, pricing, or operational information of the other. Each party will use reasonable care to protect confidential information, use it only for the authorized relationship, and disclose it only to personnel and providers with a legitimate need and appropriate obligations, except where disclosure is legally required.
Confidential information does not include information independently developed without misuse, lawfully received without duty, publicly available without breach, or already known without restriction. More specific confidentiality provisions in a signed agreement control.
Suspension and termination
We may suspend or restrict access for material nonpayment, suspected security compromise, illegal or prohibited activity, significant abuse, or provider/carrier requirements, using notice and an opportunity to cure where practicable and required. Either party may terminate as provided in the applicable order or agreement.
Upon termination, access may end and outstanding amounts become due according to the applicable agreement. Data export, retention, deletion, prepaid credits, and post-termination assistance are governed by the applicable plan, provider terms, and law. Provisions intended to survive, including payment obligations, intellectual property, confidentiality, liability, and dispute terms, survive termination.
Disclaimers and limitation of liability
To the maximum extent permitted by applicable law, Paladin disclaims implied warranties of merchantability, fitness for a particular purpose, and noninfringement, except where such disclaimers are prohibited or an express agreement provides otherwise.
To the maximum extent permitted by law, neither party will be liable to the other for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits arising from the services, except where such exclusions are prohibited or expressly modified by agreement. Paladin's aggregate liability arising from a claim will not exceed the amounts paid to Paladin for the affected services in the 12 months preceding the event giving rise to the claim, subject to nonwaivable law and any negotiated exceptions. This limitation does not automatically limit liabilities of independent third-party providers under their own agreements.
Indemnification
To the extent permitted by law, you agree to defend and indemnify Paladin against third-party claims arising from your unlawful outreach, unauthorized data, prohibited content, infringement caused by materials you supply, or material misuse of the services, excluding claims to the extent caused by Paladin's own misconduct or breach of law.
Any indemnity procedure, including prompt notice, control of defense, and settlement approval, is subject to the applicable written agreement and law.
Governing law and disputes
Unless a mutually signed agreement states otherwise or mandatory law requires another result, these Terms are governed by the laws of the State of Alabama, without regard to conflict-of-laws principles. Disputes will be brought in courts of competent jurisdiction located in Alabama, subject to mandatory consumer protections and jurisdictional requirements.
Before filing a claim, the parties should attempt in good faith to resolve it by written notice to the contact address below. Nothing in this section prevents either party from seeking urgent injunctive relief where available. These Terms do not impose arbitration or a class-action waiver.
Updates and general provisions
We may update these Terms to reflect new services, legal requirements, security needs, or operational changes. We will post an updated effective date and provide additional notice when required. Material changes to an existing paid commitment will apply as permitted by the governing agreement and law.
If a provision is unenforceable, the remainder remains effective to the extent permitted. Failure to enforce a provision is not a waiver. Neither party may assign an agreement contrary to its express terms. Electronic acceptance and signatures may be used where lawful.
